These Terms of Service (“Terms”) constitute a legal agreement between V.O.S. Inc. DBA Vector Installation Services (“Company,” “we,” “us,” or “our”) and you (“Customer,” “you,” or “your”). By accessing and using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Description of Services
Vector Installation Services provides commercial office furniture installation, systems furniture installation, cubicle assembly, workstation setup, furniture reconfiguration, decommissioning, and related project management services. All services are subject to the terms and conditions set forth in this agreement.
2. Pricing and Payment
Pricing for services is provided in written quotes and estimates. All quotes are valid for 30 days from the date of issuance. Prices may be subject to change based on market conditions, material costs, labor rates, and additional services requested by the Customer. Payment is due in full upon completion of services unless other arrangements have been made in writing. We accept payment via credit card, ACH transfer, and check. A 1.5% monthly service charge will be applied to unpaid balances after 30 days.
3. Cancellation and Rescheduling
Cancellations must be made at least 7 business days before the scheduled service date for a full refund of any deposit. Cancellations made with less than 7 business days notice may forfeit the deposit or incur cancellation fees. Rescheduling requests are subject to availability.
4. Limitations of Liability
To the fullest extent permitted by law, Vector Installation Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, even if advised of the possibility of such damages. Our liability for any claims arising from our services shall not exceed the total amount paid by Customer for the services in question. This limitation applies regardless of the legal theory upon which the claim is based.
5. Insurance and Damage
Standard liability coverage is included with all services. However, the Customer is responsible for providing additional insurance coverage if the value of items being installed or handled exceeds industry standard limits. Damage claims must be reported in writing within 10 days of service completion. Vector Installation Services is not responsible for damage to items resulting from the Customer’s failure to properly disclose the contents, fragility, or value of items being handled.
6. Customer Responsibilities
The Customer agrees to:
- Provide accurate information about the scope of work, including furniture specifications, dimensions, and quantities
- Ensure that all furniture and equipment are legally owned and not subject to any liens or claims
- Disclose any hazardous materials or site-specific safety concerns
- Ensure safe and legal access to all properties where services will be performed
- Clear pathways and provide adequate space for installation equipment and staging
- Be present or designate a representative during service delivery
- Provide building access, loading dock reservations, and elevator access as needed
7. Proprietary Information and Confidentiality
Vector Installation Services agrees to maintain the confidentiality of Customer information and data, consistent with our Privacy Policy. We will not disclose Customer information to third parties without written consent, except as required by law.
8. Intellectual Property
All content on the Vector Installation Services website, including text, images, graphics, and logos, is the exclusive property of Vector Installation Services and protected by copyright law. Customers may not reproduce, distribute, or transmit any content without prior written permission.
9. Indemnification
The Customer agrees to indemnify and hold harmless Vector Installation Services and its officers, employees, and agents from any claims, damages, or costs arising from the Customer’s use of our services or violation of these Terms.
10. Warranty Disclaimer
VECTOR INSTALLATION SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration to occur in Orange County, California.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Orange County, California.
13. Text Message Communications
By providing your phone number, you consent to receive text messages from Vector Installation Services related to your service, including appointment confirmations, project updates, and scheduling. You may opt out at any time by replying STOP. Message and data rates may apply. See our Privacy Policy for details on how your information is handled.
14. Modifications to Terms
Vector Installation Services reserves the right to modify these Terms at any time. Material changes will be effective 30 days after posting to the website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vector Installation Services regarding your use of our services and supersede all prior negotiations, representations, and agreements.
